Ed Chalpin was president? of PPX Records. He used Hendrix as a session player, and as part of Curtis Knight and the Squires' band. He held a contract, signed by Hendrix, giving him exclusive recording rights with Hendrix for three years in exchange for one dollar "and other considerations." 
Hendrix neglected to tell Chandler about this contract, maybe because he believed it only covered work as a sideman. After Hendrix's initial success, Chalpin, with the help of Capitol Records, sued Hendrix and Chandler. Part of the settlement included turning over the masters to the Band of Gypsys album to Capitol.
